CytoEnigma MicroVlabs – Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement (“Terms”) form a binding legal contract between you and CytoEnigma Technology Inc. (“CytoEnigma,” “we,” “us,” “our”).

These Terms apply to:

  • The MicroVlabs desktop application for Windows and macOS (the “Software”);
  • The cytoenigma.com website (the “Website”);
  • All online services, accounts, and features associated with MicroVlabs (the “Services”).

By downloading, installing, accessing, or using the Software or Services, or by clicking an “Accept” button, you agree to be bound by these Terms. If you do not agree, you must not use MicroVlabs or the Services.


1. Eligibility and Accounts

1.1 Age requirement. You must be an adult of legal age in your jurisdiction to enter into this Agreement.

1.2 Account information. When creating a MicroVlabs account, you must provide accurate and up-to-date information and keep it current.

1.3 Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. If you suspect unauthorized use of your account, you should notify us as soon as reasonably possible.

1.4 One user per account. Accounts are personal and may not be shared.


2. License Grant (Software / EULA)

Subject to your compliance with these Terms, CytoEnigma grants you a personal, limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the Software on compatible Windows and macOS devices that you own or control; and
  • Use the Software for your personal, non-commercial educational and entertainment use.

This license does not grant you any ownership of the Software or Services. All rights not expressly granted are reserved by CytoEnigma and its licensors.


3. Use of the Website and Services

3.1 Website access. The Website provides information about MicroVlabs, account management tools, and support resources. You agree not to misuse or disrupt the Website (for example, by attempting to hack, overload, or scrape it).

3.2 Account-based features. Certain features (such as progress syncing, achievements, or access to specific labs) may require you to be logged in with a valid MicroVlabs account.

3.3 Service availability. We may modify, suspend, or discontinue parts of the Website or Services at any time, including for maintenance, security, or technical reasons.


4. Account Entitlements and Access Permissions

4.1 Freely accessible content. MicroVlabs includes core content available at no charge.

4.2 Account entitlements. Some advanced labs or features require that your MicroVlabs account have the appropriate entitlements. These entitlements may be granted through:

  • Participation in educational programs or courses;
  • Institutional access provided by a school, organization, or instructor;
  • Time-limited access assigned to your account; or
  • Other account-based permissions managed through our Website.

These account entitlements determine which advanced labs or features are available when you sign in.

4.3 Account management. All account entitlements—including duration and access permissions—are managed through our Website’s account portal. The desktop Software for Windows and macOS does not offer in-app purchases and does not include purchase mechanisms or external purchase links.

4.4 Third-party services. If you manage your account entitlements on our Website, those entitlements may be administered using third-party service providers such as Xsolla. These processes occur outside the Software. Any terms and privacy policies of those third parties may also apply.


5. User Conduct

You agree that you will not:

  • Copy, modify, distribute, sell, rent, lease, or sublicense the Software except as permitted by law.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software, except where permitted by law despite this restriction.
  • Bypass or attempt to bypass any security measures, license checks, or access controls.
  • Use cheats, bots, exploits, or other unauthorized automation or manipulation affecting gameplay, achievements, or Services.
  • Interfere with or disrupt the Services, servers, or networks connected to MicroVlabs.
  • Upload or share any content through the Services that is illegal, harmful, abusive, harassing, defamatory, obscene, or that infringes the rights of others.
  • Use MicroVlabs or the Website for commercial use, competitive research, or any unlawful purpose.

We may suspend or terminate access if we reasonably believe you have violated these Terms.


6. Educational and Safety Disclaimer

6.1 Simulation only. MicroVlabs simulates laboratory experiences for educational purposes. It does not replace:

  • Real-world laboratory training;
  • Institution-specific protocols, safety procedures, or regulations; or
  • Professional advice, certification, or licensing requirements.

6.2 No real-world decisions. You must not rely on MicroVlabs alone to make decisions about real-world experiments, safety procedures, medical diagnosis, treatment, or regulatory compliance.

6.3 Variability. Actual lab environments (equipment, reagents, methods, results) may differ significantly from the simulated environment. We do not guarantee that simulated outcomes will match real-world results.


7. Updates and Changes

7.1 Software updates. We may provide patches, updates, or new versions of the Software. Some updates may be required for continued use (for example, for security or compatibility reasons).

7.2 Feature changes. We may add, modify, or remove features (including achievements, progression systems, or specific labs). We do not guarantee that any particular feature, leaderboard, or lab will remain available.

7.3 Progress. While we strive to preserve your progress and achievements, there may be situations (such as major updates, account problems, or technical issues) where some data does not carry over or must be reset.

7.4 Online dependencies. Some features (including authentication, progress syncing, and leaderboards) require an internet connection and may not work properly offline.


8. Feedback

If you provide suggestions or feedback about MicroVlabs or the Services, you grant CytoEnigma a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback in any manner and without obligation to credit or compensate you.


9. Privacy

Your use of MicroVlabs and the Website is also governed by our Privacy Policy, which explains what information we collect, how we use it, and your rights.

10. Intellectual Property

CytoEnigma and its licensors own all rights, title, and interest in and to:

  • The Software and Website;
  • All images, animations, artwork, text, logos, trademarks, and other content;
  • All underlying code, designs, and data (except your personal data, which is handled as described in the Privacy Policy).

Nothing in these Terms transfers ownership of any intellectual property to you.


11. Third-Party Services

MicroVlabs and the Website may rely on third-party providers such as:

  • Cloud hosting and infrastructure services;
  • Analytics and diagnostics tools;
  • Account- or entitlement-management services (for example, platforms such as Xsolla used on the Website).

Your use of those services may be subject to their own terms and policies. We are not responsible for third-party websites or services that we do not control, and we are not liable for their acts or omissions.


12. Disclaimers and Limitation of Liability

12.1 “As is” basis. The Software and Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of performance.

12.2 No guarantee of uninterrupted use. We do not guarantee that MicroVlabs or the Services will always be available, secure, or free of errors, bugs, or interruptions.

12.3 Limitation of liability. To the maximum extent permitted by law, CytoEnigma and its affiliates will not be liable for:

  • Any indirect, incidental, consequential, special, or punitive damages; or
  • Any loss of data, loss of profits, business interruption, or loss of opportunities arising out of your use or inability to use the Software or Services.

12.4 Cap on damages. To the extent that any liability is found despite the above, our total cumulative liability for all claims arising out of or related to these Terms or the Software/Services will not exceed the total amount you paid to us (if any) for MicroVlabs-related services in the six (6) months immediately preceding the event giving rise to the claim.

12.5 Consumer rights. Some jurisdictions do not allow certain disclaimers or limitations of liability. In those cases, the above limitations apply only to the extent permitted by the laws of your jurisdiction, and you retain any non-waivable rights under applicable consumer protection laws.


13. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless CytoEnigma, its affiliates, and their respective directors, officers, and employees from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of:

  • Your misuse of the Software or Services; or
  • Your breach of these Terms.

14. Termination

14.1 By you. You may stop using the Software and Services at any time. You may delete the Software from your devices and, if desired, request account deletion as explained in the Privacy Policy.

14.2 By us. We may suspend or terminate your access to the Software or Services if we reasonably believe you have:

  • Violated these Terms;
  • Engaged in fraud, abuse, or illegal activity; or
  • Created security or technical risks for other users or for us.

14.3 Effect of termination. Upon termination:

  • Your license to use the Software immediately ends; and
  • You must uninstall the Software from all devices; and
  • We may delete or restrict access to certain data associated with your account, subject to our legal obligations and the Privacy Policy.

Termination does not affect any rights or obligations that, by their nature, should survive (for example, sections on intellectual property, disclaimers, limitations of liability, and governing law).


15. Governing Law and Store Terms

15.1 Governing law. These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. However, you will also benefit from any mandatory consumer protection rules of your country of residence.

15.2 Store terms. If you obtained the Software through a digital store (such as the Microsoft Store or an Apple platform), your use of the Software may also be subject to that store’s terms and conditions. If there is a direct conflict between these Terms and the applicable store terms, the store’s terms will govern to the extent of the conflict.


16. Changes to These Terms

We may update these Terms from time to time, for example when we add new features, refine our Services, or respond to legal changes.

  • When we make changes, we will update the “Last Updated” date at the top of this page.
  • In the case of significant changes, we may also provide additional notice inside the Software, on the Website, or by email (where appropriate).

If you continue to use MicroVlabs or the Services after the updated Terms take effect, you are deemed to have accepted the changes. If you do not agree, you must stop using the Software and Services.
